A quick .02:

Go with the one that is willing to give you an equity position.

If neither one will, then start your own company.


Owning a piece of the company keeps you focused and motivated, and gives you a say. It also means that when you get shown the door because the company has been sold, you have something in hand; and it could be a very substantial amount.

If you have an equity position and the company goes belly up, you are none the worse for wear than if you did not have a piece of the action.
